Mirewood Terms of Service ("Terms")

Please read these Terms of Service carefully before using the Mirewood website (the "Service") operated by Mirewood Co. ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.1

 

 

1. Purchases2

 

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked 3to supply certain information relevant to your Purchase including, without limitation, your name, billing address, shipping information, and payment information.

 

  • Accuracy of Information: You warrant that all information you provide to us is accurate and complete. Providing inaccurate information may result in delays or refusal of service.

  • Order Acceptance: Completion of an online order does not signify our acceptance of your order. We reserve the right to accept or decline your order for any reason. Your order is accepted only when the product is shipped and you receive a shipping confirmation email.

  • Pricing: All prices are subject to change without notice. We are not responsible for typographical or photographic errors on the Site.

 

2. Shipping, Damages, and Returns

 

Your purchase is also governed by our specialized policies regarding the delivery and return of large furniture items.

  • Shipping Policy: All shipping terms, delivery schedules, and the different delivery tiers (e.g., Curbside, White Glove) are detailed in our Shipping Policy. By purchasing, you agree to the terms outlined therein.

  • Inspection of Goods: You are required to thoroughly inspect the sofa upon delivery for any damages. If damage is noted, it must be recorded on the delivery receipt as detailed in our Shipping Policy. Failure to properly inspect and note damage may void your right to a full replacement or refund for transit damage.

  • Return Policy: Our Return Policy governs all returns, exchanges, and refunds. You are responsible for all non-refundable fees (original shipping, return freight, and restocking fees) as outlined in that policy for standard returns.

 

3. Intellectual Property

 

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Mirewood and its licensors. The Mirewood name, logo, and all related product names and service names are trademarks of Mirewood.

  • You may not use our intellectual property in connection with any product or service without the prior written consent of Mirewood.

 

4. Termination

 

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

5. Indemnification

 

You agree to defend, indemnify, and hold harmless Mirewood and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.4

 

 

6. Governing Law5
